Vendor Agreement
Last updated: July 2026
This Vendor Agreement applies in addition to the Terms of Service and governs the relationship between WatchMerit and any dealer or business ("Vendor") that registers, claims, or maintains a vendor profile on the Platform.
1. Verification and profiles
WatchMerit may create an unclaimed vendor profile from publicly available business and listing information and invite the relevant business to claim it. To claim or maintain a verified profile, a Vendor must provide business registration details, ABN, identification documents and any other information WatchMerit reasonably requires, and must promptly notify WatchMerit of any change to that information.
A business that does not wish to have an unclaimed profile published may request its removal under our Data Collection & Takedown Policy.
2. Subscription fees
Vendor access is provided on a monthly recurring subscription basis at the fee published on the Platform from time to time. Vendors accepting this Agreement during the promotional launch period will not be charged a subscription fee until WatchMerit begins charging for vendor access, after which standard subscription fees apply. WatchMerit will give at least 30 days' notice before the free period ends or fees otherwise change.
Subscription fees are charged in advance and are non-refundable except as set out in our Refund Policy. A Vendor may cancel its subscription at any time, effective at the end of the then-current billing period.
3. Listing accuracy and conduct obligations
- Listings must be accurate, current and not misleading, including as to price, condition, box/papers, and availability.
- Vendors must promptly update or remove a listing once a watch is sold or otherwise unavailable.
- Vendors must respond to introductions made through the Platform in good faith and within a reasonable time.
- Vendors are solely responsible for the authenticity, legal title, condition, warranty and delivery of any watch they sell, and for compliance with all applicable laws, including the Australian Consumer Law, AML/CTF obligations (where applicable), and any second-hand dealer or pawnbroker licensing requirements in their jurisdiction.
- Vendors must not circumvent the Platform to avoid unlock or bid-unlock fees in respect of an introduction made by WatchMerit.
4. Leads, introductions and the trade-in auction
Where a buyer pays an unlock fee or submits an enquiry, WatchMerit will disclose the buyer's contact details to the Vendor. Where a private seller submits a watch to the trade-in marketplace, participating Vendors may submit a confidential offer without visibility of competing bids, and may pay a fixed fee (currently A$50, subject to change) to unlock the seller's contact details. WatchMerit does not review, endorse, or guarantee any bid or offer, is not involved in the negotiation, and receives no commission on any resulting sale.
WatchMerit takes no commission based on the sale price of any watch under any part of the Platform.
5. Data use and confidentiality
Vendors must keep buyer and seller contact details obtained through the Platform confidential, use them only for the purpose of pursuing the relevant transaction, and not add individuals to marketing lists without separate consent obtained directly from that individual in compliance with the Spam Act 2003 (Cth) and the Australian Privacy Principles.
6. Indemnity
The Vendor indemnifies WatchMerit against any loss, damage, cost, fine or claim arising from the Vendor's listings, conduct, breach of this Agreement, or any transaction between the Vendor and a buyer or private seller, including any claim relating to authenticity, title, condition or consumer guarantees.
7. Term, suspension and termination
This Agreement continues until terminated by either party. WatchMerit may suspend or terminate a Vendor's profile or account immediately for breach of this Agreement, repeated buyer complaints, suspected fraud, or failure to maintain required verification. A Vendor may terminate by written notice, subject to any subscription fees already due for the current billing period.
8. Governing law
This Agreement is governed by the laws of New South Wales, Australia.
